Terms of Service

These Terms of Service (the "Terms") govern access to and use of the Luma Dune browser-based tools, websites, content, and related services (collectively, the "Service"). In these Terms, "Luma Dune," "we," "us," and "our" refer to the Service operator.

1. Acceptance of Terms

By accessing or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.

If a feature has additional terms presented before use or purchase, those additional terms form part of your agreement for that feature. If they conflict with these Terms, the more specific terms control only for that feature.

Nothing in these Terms limits rights that cannot lawfully be waived, including mandatory consumer rights.

2. Eligibility

You must be at least 18 years old to use the Service. By using it, you represent that you meet this requirement and have legal capacity to agree to these Terms.

If you use the Service for a company or another organization, you represent that you have authority to bind that organization. In that case, "you" includes the organization.

You may not use the Service if applicable law prohibits you from doing so.

3. Description of the Service

Luma Dune helps users apply the color, contrast, tone, and overall grading characteristics of a reference image to another image. The Service is intended for color matching and grading, not for changing objects, composition, weather, identity, or lighting direction.

The current MVP may include image selection, upload, analysis, preview, before-and-after comparison, matched image download, and 3D LUT export. It does not currently include payments, subscriptions, Marketplace transactions, creator sales, video processing, or batch processing.

Features, limits, formats, output sizes, and compatibility may change as the Service develops.

4. Purpose-Limited Image Processing

The Service may process selected target and reference images to create previews, color-matched results, downloads, and 3D LUT exports. Image content may be handled by Luma Dune systems and service providers only as necessary to provide, secure, troubleshoot, and operate the requested color-matching workflow.

Temporary copies may exist while the tool operates. Your browser, device, extensions, caches, backups, saved downloads, and network environment remain under your control and may behave differently across environments.

Luma Dune does not use selected images or generated results for advertising tracking, analytics profiling, or artificial-intelligence or machine-learning model training. Analytics must not receive image pixels, image content, local paths, Blob URLs, image hashes, or EXIF/GPS metadata.

5. Saved Projects and Additional Processing

Luma Dune may allow signed-in users to save eligible Color Match projects. Account-linked projects may be retained until the project or account is deleted, subject to the Privacy Policy and any legal, security, or backup requirements.

We may introduce additional storage, synchronization, batch processing, or export features. Before introducing materially different processing, we will explain the relevant retention and privacy terms and request any consent required by law.

Additional limits, storage periods, fees, and deletion options may apply and will be presented with that feature.

6. User Content and Required Rights

"User Content" means images, text, feedback, messages, and other materials that you select, upload, submit, or provide through the Service.

You represent and warrant that:

• you own User Content or have all permissions needed to process and use it;
• your use does not infringe copyright, trademark, privacy, publicity, contractual, or other rights;
• you have obtained any necessary permission from identifiable people depicted in User Content;
• User Content and your use of the Service comply with applicable law;
• you will not submit sensitive data or image files through general contact channels unless we specifically request them and explain how they will be handled.

Because image processing is purpose-limited, Luma Dune may process User Content only as needed for the requested workflow and related operation, security, and troubleshooting. You remain responsible for the content you select and how you use any result.

7. Limited Content License

You grant Luma Dune a non-exclusive, worldwide, royalty-free, limited-duration license to host, copy, transmit, analyze, transform, generate results from, and deliver User Content solely as necessary to provide, secure, troubleshoot, and legally operate the requested feature. We may sublicense those limited rights to service providers bound to support the Service.

This limited license does not authorize public display, advertising use, sale, or model training unless you separately and expressly agree. It ends when the processing purpose and disclosed retention period end, subject to lawful backups, security records, and legal retention obligations.

8. Ownership of Images and Results

You or the original rights holder retain ownership of source images. To the extent applicable law recognizes rights in a generated result, you retain those rights, subject to third-party rights in the source and reference materials and Luma Dune's rights in the Service.

Luma Dune does not claim ownership of your processed result merely because you used the Service. You are responsible for determining whether a result can be copyrighted, published, licensed, sold, or used commercially in your jurisdiction.

Using the Service does not transfer ownership of Luma Dune's software, algorithms, models, color-processing technology, documentation, brand, or other platform intellectual property.

9. Luma Dune Intellectual Property

The Service, including software, algorithms, interfaces, visual design, documentation, text, graphics, trademarks, logos, color representations, LUT-generation methods, and other technology, is owned by Luma Dune or its licensors and protected by intellectual-property laws.

Subject to these Terms, Luma Dune grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the current Service for lawful personal or internal business purposes.

Except where applicable law expressly permits, you may not copy, distribute, sell, license, modify, create derivative services from, publicly provide, reverse engineer, decompile, extract, or attempt to discover the source code, algorithms, models, or non-public technology of the Service.

10. Acceptable Use

You may use the Service only lawfully and in accordance with these Terms. You are responsible for your device, browser, network, User Content, results, and anyone using the Service through your systems.

You must respect intellectual-property, privacy, publicity, and other rights. You must review results before publishing or using them in commercial, professional, or high-risk contexts.

11. Prohibited Content and Conduct

You may not use the Service to:

• violate a law, regulation, court order, or legally binding obligation;
• infringe or misappropriate intellectual-property, privacy, publicity, or contractual rights;
• process another person's private images without required authority;
• create, possess, or distribute child sexual abuse material, non-consensual intimate imagery, exploitative content, or other illegal material;
• harass, threaten, defame, impersonate, deceive, exploit, or harm another person;
• commit identity fraud, misleading political or commercial representation, or unlawful surveillance;
• upload or transmit malware, malicious code, or material intended to compromise a system;
• attack, overload, scrape, probe, bypass, or interfere with the Service or its security and usage controls;
• use automated means at a scale that unreasonably burdens the Service without written permission;
• remove notices, defeat technical safeguards, or obtain unauthorized access;
• resell or reproduce the Service as a competing product without written permission.

Luma Dune may cooperate with lawful investigations and take reasonable steps to address prohibited use that comes to our attention.

12. Generated Results and No Guarantee

Results depend on source images, reference images, exposure, lighting, color space, browser, device, display, and algorithm version. Luma Dune does not guarantee that a result will precisely reproduce a reference, preserve every detail, be unique, or satisfy a professional standard.

The Service may produce color shifts, clipping, reduced metadata, compression, or other unexpected effects. Results are not professional photography, color-management, legal, medical, safety, or other expert advice.

You must inspect and test results before publication, sale, client delivery, archival use, or use in a high-risk context. You are solely responsible for deciding whether and how to use a result.

13. LUTs and Export Formats

The current Service may provide .cube 3D LUT export in Universal Standard, Mobile & Camera, and High Precision options. It does not currently include application-specific presets, batch processing, or video compatibility.

A portable LUT may render differently from the preview shown in Luma Dune because editing software, interpolation, color management, and display conditions vary.

Results may vary across LUT sizes, interpolation methods, editing applications, cameras, log profiles, working color spaces, operating systems, browsers, displays, and HDR/SDR workflows. Luma Dune does not guarantee compatibility or identical appearance on every device, application, or professional workflow.

You are responsible for confirming that a LUT is compatible with your destination software, device, color space, and workflow.

14. Paid Features

The current Color Match MVP is free. Luma Dune may introduce paid features in the future, but no payment terms apply unless you choose a paid feature after its price, included use, material limits, and applicable refund or cancellation terms are displayed.

Purchasing a feature grants only the access, processing, download, or license rights stated at checkout. It does not transfer Luma Dune's underlying intellectual property.

15. Beta and Experimental Features

We may identify features as alpha, beta, preview, experimental, or early access. Such features may be incomplete, change without notice, produce unexpected results, or be discontinued.

Do not rely on an experimental feature for irreplaceable files, production deadlines, archival storage, or critical professional work. Where permitted by law, experimental features are provided without service-level commitments.

16. Feedback

If you voluntarily provide ideas, suggestions, or feedback, you grant Luma Dune a worldwide, perpetual, irrevocable, sublicensable, royalty-free license to use, reproduce, modify, publish, and incorporate that feedback for any lawful purpose without compensation or obligation.

This feedback license does not give Luma Dune permission to publicly identify you or use your private image content for promotion without separate authorization.

17. Third-Party Services and Links

The Service may use or link to third-party services, including analytics, hosting, email, and content delivery. Third parties operate under their own terms and privacy policies.

Luma Dune is not responsible for third-party services, content, availability, security, or practices. A link or integration does not imply endorsement. Your use of a third-party service is between you and that provider.

18. Privacy

Our Privacy Policy explains how we process personal information and is incorporated by reference into these Terms. The applicable language version is available through the Service.

The purpose-limited image-processing facts in these Terms and the Privacy Policy should be read together. If future processing features materially change how User Content is handled, the updated privacy notice and feature-specific terms will apply.

19. Copyright and Intellectual Property Complaints

If you believe material made available by Luma Dune infringes your copyright or other intellectual-property rights, submit a notice through our Contact page containing:

• identification of the protected work or right;
• identification and location of the allegedly infringing material;
• your name and contact information;
• a statement that you have a good-faith belief the use is unauthorized;
• a statement that the notice is accurate and that you are authorized to act;
• your physical or electronic signature, where required.

Luma Dune may request more information, remove or restrict material, notify relevant parties, and process counter-notices where applicable. If U.S. DMCA safe-harbor procedures become relevant, Luma Dune must separately designate and register an agent as required by law; this section does not itself complete that registration.

20. Suspension and Termination

You may stop using the Service at any time.

Luma Dune may suspend, limit, or terminate access if we reasonably believe you violated these Terms, created legal or security risk, infringed rights, abused the Service, or if suspension is required by law. Where reasonably practicable and legally permitted, we will provide notice.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive will remain effective, including ownership, disclaimers, limitations of liability, indemnification, dispute provisions, and general terms.

21. Service Changes and Availability

We may modify, add, limit, suspend, or discontinue features. We may impose reasonable technical, file, usage, geographic, or compatibility limits.

We do not guarantee uninterrupted availability or that a feature will remain free or available forever. Where a change materially affects a paid commitment, we will provide any notice, refund, or remedy required by the applicable purchase terms and law.

You are responsible for keeping copies of files and results that matter to you. Luma Dune is not an archival-storage service unless a future feature expressly states otherwise.

22. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." LUMA DUNE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS.

LUMA DUNE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPATIBLE WITH EVERY DEVICE OR APPLICATION, OR THAT RESULTS WILL MEET YOUR EXPECTATIONS.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS. NOTHING IN THESE TERMS EXCLUDES A WARRANTY, CONSUMER GUARANTEE, OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED.

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMA DUNE AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE, ARISING FROM OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF LUMA DUNE AND THE ABOVE PARTIES FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID LUMA DUNE FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) USD 100.

These limits apply regardless of legal theory and even if a remedy fails of its essential purpose. They do not apply to liability that cannot legally be limited, which may include fraud, willful misconduct, death or personal injury caused by negligence, or mandatory consumer liability, depending on applicable law.

24. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Luma Dune and its affiliates, officers, employees, agents, licensors, and service providers from third-party claims, damages, losses, liabilities, judgments, costs, and reasonable legal fees arising from:

• your User Content;
• your use or misuse of the Service or results;
• your violation of these Terms or applicable law;
• your infringement of another person's rights.

Luma Dune will provide reasonable notice of a covered claim and may control its defense. You may not settle a claim in a way that admits fault by or imposes obligations on Luma Dune without written consent.

This section does not apply to a consumer to the extent such an indemnity is prohibited or unenforceable under applicable law.

25. Governing Law

These Terms and disputes arising from them are governed by applicable law.

This choice does not deprive a consumer of mandatory protections provided by the law of the consumer's habitual residence where those protections cannot be waived by contract.

26. Informal Dispute Resolution

Before filing a court claim, you and Luma Dune may attempt in good faith to resolve the dispute informally. A dispute notice may be submitted through our Contact page and should describe the facts, requested relief, and relevant contact information.

Informal resolution does not prevent either party from seeking urgent interim relief, making a regulatory complaint, or exercising a non-waivable consumer right.

27. Exclusive Court Jurisdiction

If a dispute is not resolved informally, it may be brought before a court with jurisdiction under applicable law.

This clause does not prevent a consumer from bringing a claim in another court where mandatory consumer law permits or requires it. These Terms do not require arbitration and do not include a class-action waiver.

28. General Terms

• Entire agreement: These Terms, the Privacy Policy, and applicable feature- or purchase-specific terms form the agreement concerning the Service.
• Order of precedence: Specific feature or purchase terms control only for that subject; mandatory law controls where it cannot be waived.
• Severability: If a provision is unenforceable, it will be modified only as necessary or severed, and the remainder will continue.
• No waiver: Failure to enforce a provision is not a waiver.
• Assignment: You may not assign these Terms without written consent. Luma Dune may assign them in connection with a restructuring, merger, financing, sale, or operation of the Service, subject to applicable law.
• No partnership: These Terms do not create employment, partnership, agency, fiduciary, franchise, or joint-venture relationships.
• Headings: Headings are for convenience and do not control interpretation.
• Electronic communications: You agree that legally permitted notices may be provided electronically through the Service or your supplied email address.
• Force majeure: Luma Dune is not responsible for delay or failure caused by events beyond reasonable control, subject to mandatory law.

29. Changes to These Terms

We may update these Terms to reflect changes in the Service, technology, business, or law. We will publish the revised Terms through the Service and update the effective date.

For material changes, we will provide additional notice when required. Changes apply prospectively from their effective date. If you do not agree to revised Terms, stop using the Service. Material changes to a paid commitment will remain subject to applicable purchase terms and consumer law.

31. Language and Interpretation

These Terms may be available in English, Simplified Chinese, Traditional Chinese, and other languages. The versions are intended to have the same meaning. If a conflict arises, the English version is the interpretive reference to the extent permitted by law. Mandatory local-language and consumer rules prevail where applicable.
